Corporate Legal Counsel (all genders)
- US | Remote
support across a wide range of areas, with a primary focus on drafting and negotiating
commercial contracts. This role requires a highly motivated and detail-oriented attorney
with a strong understanding of SaaS business models, data protection, artificial intelligence.
The ideal candidate will be a proactive problem-solver with excellent communication and
interpersonal skills, experience with private-equity firms is a plus
YOUR TASKS
- Draft, review, and negotiate a wide variety of commercial contracts, including SaaS agreements, master services agreements, vendor agreements, partnership agreements, NDAs, and data processing agreements
- Ensure contracts comply with applicable laws and regulations, and protect the company's interests
- Manage contract lifecycle, from initial drafting to execution and ongoing administration
- Advise on legal and regulatory compliance matters, including data privacy (GDPR, CCPA), intellectual property, and other relevant areas
- Develop and implement legal policies and procedures
- Monitor and analyze changes in relevant laws and regulations
- Assist with the protection and enforcement of the company's intellectual property rights, including trademarks, copyrights, and trade secrets
- Advise on IP licensing and related matters
- Provide general legal advice and support to internal stakeholders on a variety of legal issues
- Conduct legal research and provide legal opinions
- Assist with data governance and compliance projects
YOUR PROFILE
- Juris Doctor (JD) degree from an accredited law school and admission to a state bar
- Minimum of 5 years of experience drafting and negotiating a broad range of commercial contracts, preferably technology environment
- Excellent drafting, negotiation, and communication skills
- Ability to work independently and as part of a team
- Strong analytical and problem-solving skills
- Ability to manage multiple projects and deadlines
